3. Account Registration and Eligibility

• To use certain Services, you must create an account with JostPay. By registering, you agree to provide accurate and complete information.
• You must be at least 18 years old or the age of majority in your jurisdiction to use our Services.

4. User Conduct

• In case of any disruption, we will take reasonable steps to restore services as quickly as possible.

7. Refund Policy

Refunds are issued strictly to your JostPay credit balance and not directly to bank accounts or third-party platforms. Users may subsequently move refunded funds from their credit balance into their wallet balance, subject to platform terms.

8. Account Deletion

1. Voluntary Account Deactivation
   Users may choose to deactivate their JostPay account at any time through their profile settings. Upon deactivation, the account will no longer be accessible, and any remaining balance (if applicable) must be withdrawn or forfeited before the account can be fully closed.Deactivation is irreversible and all associated data may be deleted in accordance with our data retention policy
2. Automatic Deletion for Inactive Accounts
   To ensure platform efficiency and prevent fraudulent or abandoned registrations, any newly created JostPay account that fails to activate a linked Bank Wallet within 14 days of registration will be automatically deleted. Users will be required to re-register if they wish to use the platform in the future.

9. Acceptable Use of Digital Services

Users must not use JostPay hosting, scripts, or digital platforms for unlawful, fraudulent, defamatory, obscene, or abusive purposes. This includes but is not limited to phishing, spam distribution, copyright infringement, or unauthorized access attempts. JostPay reserves the right to suspend or terminate accounts found violating this policy.

10. Privacy and Data Protection

JostPay is committed to protecting your privacy. We collect and use your personal data in accordance with our Privacy Policy. By using our Services, you consent to the collection and use of your personal data as described in the Privacy Policy.

11. Termination of Account

JostPay reserves the right to suspend or terminate your account at our discretion if you violate these Terms or engage in activities that harm the integrity or functionality of our Services.

12. Limitation of Liability

JostPay shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our Services. Our total liability is limited to the amount you paid for the specific Service in question.

13. Intellectual Property

All content, logos, trademarks, and materials provided by JostPay remain the property of JostPay Limited and are protected by applicable copyright and intellectual property laws. You agree not to use these materials without prior written consent.

14. Changes to Terms

JostPay reserves the right to modify or update these Terms at any time. Any changes will be communicated through our website or via email. By continuing to use our Services after any changes, you accept the updated Terms.

15. Automobile Painting and Auto Repairs

• JostPay provides automobile painting and auto repair services per the agreed scope with the customer.
• Customers must provide accurate vehicle details and remove personal belongings prior to service. JostPay is not liable for personal items left in vehicles.
• A limited warranty applies only to automobile painting services for a specified period (e.g., 30, 90, or 180 days depending on service selection).
• This warranty excludes damage resulting from driver error, collisions, accidents, or normal wear and tear. Warranty claims must be reported within the warranty period and will be assessed only on the affected section.
• JostPay is not liable for delays due to parts availability, weather, or other factors outside our control.
• When customers opt for self-procurement of parts, JostPay reserves the right to charge a storage fee of 5,000 NGN per day for delayed delivery exceeding 48 hours from the stipulated delivery time. This fee is for vehicle storage and delayed parts handling and may be reviewed or updated at any time without prior notice.
• Customers must notify cancellations or reschedules at least 24 hours before service appointments. Late cancellations may incur fees.

16. Limitation of Liability for Theft

JostPay shall not be held responsible or liable for any loss, theft, or damage to vehicles, parts, or personal belongings while the vehicle is in our possession for painting, repairs, or any other service. Customers are advised to take all necessary precautions, including securing valuables and vehicle documents prior to submitting their vehicle for service. Any theft or loss occurring during the service period shall be the sole responsibility of the vehicle owner, and JostPay disclaims any liability for such incidents.

17. Promotions and Sweepstakes

JostPay may from time to time run promotions, giveaways, or sweepstakes (“Promotions”) for eligible users of the platform. Participation in any Promotion is subject to the following rules:

• Promotions are only open to users who are legal residents of Nigeria and are at least 18 years old.
• To qualify for a promotion, you must purchase any of our eligible services, including but not limited to airtime, data, gift cards, Pay4Me, SocialBoost, car purchases, script/template sales, auto repairs, painting, or web hosting.
• You qualify for a promo code or entry into a sweepstake only when a promotion is actively running. If no promotion is active, transactions do not qualify.
• Promotion details, including start and end dates, eligibility requirements, entry criteria, and prize descriptions, will be displayed in the app or official communications from JostPay.
• Prizes may include promo codes, discounts, cashequivalent value items, or physical gifts such as cars, generators, inverters, or other merchandise, as specified in the promotion.
• Winners, where applicable, will be selected according to the terms of the promotion and contacted via their registered contact details.
• All prizes are non-transferable and may not be exchanged for cash unless explicitly stated.
• JostPay reserves the right to modify, suspend, or cancel any promotion at its sole discretion and without prior notice.
• Disclaimer: Apple Inc. and Google LLC are not sponsors of, nor affiliated in any way with, any promotion, contest, or sweepstake offered by JostPay.

Full and current rules for each promotion will be made available in-app and must be reviewed before participation.

18. Wallet Services and Send Money Feature

JostPay partners with a leading Nigerian bank to provide wallet services on its platform. All wallet operations— including fund custody, account management, andtransaction processing—are fully managed by the partner bank and not by JostPay. JostPay does not hold or manage your wallet funds directly.
The partner bank is duly licensed and regulated by the Central Bank of Nigeria (CBN) and is responsible for all aspects of wallet management.
Similarly, the Send Money feature available on JostPay is facilitated and managed entirely by the partner bank.
JostPay serves solely as the platform provider and does not directly process or handle any monetary transactions related to wallet services or money transfers. By using these services, you agree to comply with the terms and conditions set forth by the partner bank.
Limitation of Liability
JostPay shall not be liable for any loss, damage, delay, or failure arising from or relating to wallet operations, money transfers, or other financial services managed by the partner bank. This includes, but is not limited to, errors, omissions, interruptions, unauthorized transactions, or technical failures beyond JostPay's control.
Indemnity
You agree to indemnify, defend, and hold harmless JostPay, its affiliates, officers, employees, and agents from and against any claims, liabilities, losses, damages, costs, or expenses (including legal fees) arising out of or related to your use of the wallet services and Send Money feature, including disputes or claims relating to transactions managed by the partner bank.

19. Third-Party Services

Certain JostPay services depend on third-party providers. JostPay does not guarantee the availability, quality, or timeliness of third-party services and shall not be liable for any disruption, delay, or loss arising from such external dependencies. Users agree to contact the third-party provider for resolution of issues relating to their services.

20. Prohibited Activities

You agree not to manipulate JostPay systems or promotions, including creating multiple accounts, falsifying identities, or exploiting referral or cashback schemes. JostPay reserves the right to suspend accounts engaged in suspicious or abusive behavior.

21. KYC and Compliance

Users agree to provide accurate identification and documentation as required by JostPay or its banking partners for identity verification, transaction monitoring, and compliance with Anti-Money Laundering (AML) and KnowYour-Customer (KYC) regulations. Failure to comply may result in suspension or termination of wallet and platform access.

22. Governing Law

These Terms are governed by and construed in accordance with the laws of Nigeria. Any disputes arising from these Terms shall be resolved in the courts of Lagos, Nigeria.
Before initiating legal proceedings, the Parties agree to attemptto resolve disputes through negotiation or arbitration in accordance with the Arbitration and Mediation Act, 2023. Arbitration shall take place in Lagos and proceedings shall be in English.

23. Force Majeure

JostPay shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to acts of God, war, strikes, cyberattacks, internet failure, utility disruptions, or government restrictions.

24. Cargo Shipping and Buy & Ship Services

24.1 Service Structure and Parties

These services involve three distinct parties:

• JostPay - technology and marketplace platform provider
• Cargo71 - logistics coordination brand facilitating access to third-party shipping providers
• AUTOLOT7 MOTORS - licensed vehicle dealer responsible for vehicle procurement and sale

Each entity operates independently within its respective scope of services. Users acknowledge that each service component may be governed by separate contractual relationships.

24.2 Role of JostPay (Platform Only)

JostPay provides a digital platform that:

• Facilitates access to AUTOLOT7 MOTORS for vehicle procurement services
• Facilitates access to Cargo71 for logistics coordination services
• Connects users with third-party auction platforms and logistics providers

JostPay does not:

• Sell vehicles
• Provide shipping or logistics services
• Act as a carrier, freight forwarder, or customs broker
• Assume responsibility for third-party service performance

24.3 Role and Protection of AUTOLOT7 MOTORS (Vehicle Services)

AUTOLOT7 MOTORS is an independent licensed vehicle dealer responsible for:

• Vehicle sourcing from auction platforms (e.g. Copart, IAAI, etc.)
• Vehicle purchase, importation, and ownership transfer
• Optional repair and delivery coordination where applicable

AUTOLOT7 MOTORS operates independently of JostPay.

To the maximum extent permitted by law:

• AUTOLOT7 MOTORS shall not be liable for delays or failures caused by shipping, customs, or third-party logistics providers
• Vehicle condition disclosures are based on auction and third-party inspection reports where applicable
• All sales are subject to AUTOLOT7 MOTORS' own terms and conditions

24.4 Role and Protection of Cargo71 (Logistics Coordination Services)

Cargo71 facilitates access to independent, licensed logistics providers for:

• RORO and container shipping services
• Export coordination from U.S. ports
• Import logistics coordination into destination countries

Cargo71 does not:

• Own or operate vessels or shipping lines
• Act as a freight forwarder or carrier unless separately licensed
• Guarantee delivery timelines, customs clearance outcomes, or shipping conditions

Cargo71 shall not be liable for shipping delays, cargo loss or damage, customs or port authority actions, or acts or omissions of third-party logistics providers.

24.5 Third-Party Service Providers

Shipping lines, auction platforms, customs agents, and logistics operators are independent third parties.

Each third party is solely responsible for:

• Service performance
• Regulatory compliance
• Damage, delay, or loss during service execution

JostPay, Cargo71, and AUTOLOT7 MOTORS are not responsible for third-party acts or omissions.

24.6 Payments and Financial Flow

• Vehicle-related payments are made directly to AUTOLOT7 MOTORS
• Shipping-related payments are made on behalf of Cargo71's designated logistics partners via the JostPay platform

JostPay acts strictly as a payment facilitation and routing platform and does not operate as a bank, escrow service, or financial custodian.

24.7 Limitation of Liability (All Entities)

To the maximum extent permitted by law:

• JostPay is not liable for vehicle or shipping outcomes
• AUTOLOT7 MOTORS is not liable for shipping, customs, or logistics failures
• Cargo71 is not liable for vehicle condition, auction outcomes, or third-party logistics failures

All liability lies exclusively with the party directly responsible for the specific service component giving rise to the claim.

24.8 Indemnity

Users agree to indemnify and hold harmless:

• JostPay
• AUTOLOT7 MOTORS
• Cargo71

from any claims, damages, losses, or expenses arising from platform use, shipping activities, vehicle procurement, third-party service failures, or user non-compliance with applicable laws.

24.9 Risk Acknowledgement

Users acknowledge that vehicle procurement and international shipping involve inherent risks and depend on third-party providers beyond the control of JostPay, Cargo71, and AUTOLOT7 MOTORS.

Users voluntarily assume all associated risks including delays, losses, and damages.

24.10 Acceptance

By using these services, users confirm they have read and agreed to these Terms and any separate contractual terms of AUTOLOT7 MOTORS and Cargo71 logistics partners where applicable.

25. Twenty5 - Marriage-Focused Matchmaking Service

25.1 Introduction

Twenty5 is a marriage-focused matchmaking feature within the JostPay platform designed exclusively for individuals seeking long-term relationships and marriage.

By accessing or using Twenty5, you agree to these Terms and the general JostPay Terms of Service.

25.2 Nature of Service

Twenty5 is a social introduction and matchmaking platform that enables users to:

• Create personal profiles indicating relationship intentions
• Share personal information and preferences
• Participate in structured video interviews conducted by JostPay
• View approved user interviews
• Express interest in other users ("shoot your shot")
• Submit and manage date requests

Twenty5 does not provide real-time chat, messaging, or video calling functionality.

25.3 Eligibility

Users must be at least 25 years old.

Users are responsible for ensuring they are legally permitted to engage in relationships or marriage in their jurisdiction.

JostPay may rely on user-provided information for age verification and does not guarantee absolute identity accuracy.

25.4 Nature of Interactions and User Responsibility

Twenty5 only facilitates introductions between users.

JostPay does not:

• Vet, endorse, or guarantee any user profile
• Verify the accuracy of user-submitted information beyond reasonable platform checks
• Supervise, monitor, or control user interactions
• Provide background checks or safety assurances

Users are solely responsible for their decisions, communications, and any interactions that occur on or off the platform.

JostPay does not vet, monitor, or supervise user interactions and is not responsible for the conduct, behavior, or actions of any user, whether online or offline.

25.5 No Guarantee

JostPay does not guarantee matches, communication, relationships, or marriage outcomes.

25.6 Conduct

Users must not misrepresent themselves, engage in abuse, fraud, or illegal activity. Violations may result in suspension or removal.

25.7 Video Interviews and Content Use

Users may participate in structured video interviews for identity presentation and platform visibility.

By participating, users grant JostPay a non-exclusive license to record, store, and display such content within the platform for matchmaking purposes.

Approved interview content may be publicly visible to other users within the platform.

25.8 Date Requests and Meetings

Twenty5 does not provide in-app messaging or video calling.

Contact information is only shared when a date request is mutually accepted.

All meetings are arranged externally by users, and users are solely responsible for their safety, conduct, and outcomes during such meetings.

25.9 Fees and Payments

Certain features, including expressing interest or sending date requests, may be subject to fees.

Fees are non-refundable once a request is accepted, unless otherwise stated in-app.

25.10 Limitation of Liability

To the maximum extent permitted by law, JostPay shall not be liable for any disputes, injury, loss, harm, harassment, fraud, or outcomes arising from user interactions or offline meetings.

Users acknowledge that all interactions are at their own risk.

25.11 Content Ownership

Users retain ownership of their content but grant JostPay a non-exclusive license to use, display, and distribute such content for platform operation.

25.12 Termination

JostPay may suspend or terminate access to Twenty5 at any time for safety, compliance, or misuse concerns.
